Terms & Conditions that apply to all TM Forum

Research and Media Contracts

  1. ENTIRE AGREEMENT. These terms and conditions (the “Terms and Conditions”) are incorporated into and form an integral part of the agreement to which they apply (the “Contract”), and together constitute the entire agreement between you and TM Forum, a New Jersey Non Profit Corporation (“TM Forum,” “we,” “our,” or “us”) (each a “Party” and together the “Parties”).
  2. FEES AND PAYMENT. We accept payment by Bank Transfer or Credit Card (Visa/MasterCard/American Express). Credit card payments incur a 3% service fee. You must raise any disputed charges within five (5) days after receiving the invoice. TM Forum will work with you to resolve disputes, and payment will be due upon receipt of the invoice after resolution. If payment is not received within thirty (30) days of the due date, TM Forum will charge interest at 1.5% per month (18% annually) or the maximum rate allowed by law, starting from the invoice date.
  3. DEADLINES/CANCELLATION/TERMINATION.
    1. Copy Deadlines. TM Forum is not obliged to, nor will it, delay publication dates and marketing kick-off due to any failure to deliver your copy by the deadline(s) specified in the Contract.
    2. Cancellation of Publications. Publication/Advertising sponsors who subsequently wish to cancel their participation must do so in writing. No voice mail cancellations will be accepted.
      1. Written notice of cancellation must be received by TM Forum no later than 8 (eight) weeks of the Contract effective date.
      2. Cancellations received after this date will be liable for 100% of the total cost of sponsorship. Payment due may not be applied to any other TM Forum activity.
    3. Cancellation of a Webinar Sponsorship. Webinar sponsors committing to a sponsorship who subsequently wish to cancel or reschedule their participation must do so in writing. No voice mail cancellations will be accepted. All cancellations or rescheduling are subject to the following Cancellation/Rescheduling Charges:
      1. Cancellation/Rescheduling more than 180 (one hundred and eighty) days before the Event Date, 25% of the total cost of the cancelled/rescheduled Sponsorship.
      2. Cancellation/Rescheduling more than one hundred and eighty (180) days and less than sixty-one (61) days before the Event Date, 50% of the total cost of the cancelled/rescheduled Sponsorship.
      3. Cancellation/Rescheduling less than ninety (90) days before the Event Date, 100% of the total cost of the cancelled/rescheduled Sponsorship.

Payment due may not be applied to any other TM Forum activity.

  1. TERMS THAT APPLY TO WEBINAR SPONSORSHIPS
    1. Format for live event is as follows: 
      • 1-hour live webinar;
      • Welcome and introduction presentation by TM Forum expert;
      • Presentation by sponsor – case study/thought leadership presentation (not a product pitch) by yourself and/or a customer knowledgeable in the topic area;
      • Question and answers session with the audience facilitated by a TM Forum expert.
    2. Package includes:
      • Full pre- and post-production support from our dedicated webinar production coordinator;
      • Hosting of the live event on a professional webinar platform;
      • TM Forum subject matter expert who will attend a content review call, provide feedback on the sponsor presentation, and act as chairperson for the live event;
      • Leads comprising all non-opt-out webinar registrants, attendees and on-demand views.
    3. Important, please note:
      • Sponsor agrees to complete the webinar brief and submit it to the Sponsor Relations Manager 12 weeks before the live event (we cannot confirm your TM Forum expert until we have this written brief);
      • Sponsor agrees to provide speakers to attend the kick-off call, content review meeting, and dress rehearsal;
      • TM Forum expert reserves the right to approve the sponsor's presentation;
      • TM Forum webinars are limited and in high demand. Any request to change the date must be made in writing to the production coordinator at least 12 weeks before the live event. Whilst every effort will be made to accommodate such a request, the sponsor accepts that it will not always be possible due to limited availability.
  2. SERVICE PROVIDERS. TM Forum may use third-party service providers (“Service Providers”) to provide you with services under this Contract. TM Forum shall: (a) exercise reasonable care in selecting and managing Service Providers; (b) remain primarily responsible for all services provided under this Contract, whether performed directly by TM Forum or through its Service Providers; and (c) be liable for failures to the extent such failures result from TM Forum’s negligence in selection, management, or oversight of such Service Providers.
  3. FORCE MAJEURE. Neither Party shall be liable for any failure or delay in the performance of its obligations under this Contract, excluding payment obligations, to the extent that such delay or failure is caused by an event or circumstance beyond the reasonable control of the affected Party. Such events may include, but are not limited to, acts of God, natural disasters, war, terrorism, labor strikes, or governmental actions. The affected Party shall notify the other Party promptly of the occurrence of any force majeure event and shall use reasonable efforts to mitigate the impact on its performance. If the force majeure event persists for more than 30 (thirty) days, either Party may terminate this Contract upon written notice to the other Party.
  4. LIMITATION OF LIABILITY. TM FORUM’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS OR SUITS OF ANY KIND WILL NOT EXCEED THE AMOUNT YOU PAID TO TM FORUM UNDER THIS CONTRACT OR US$ 100,000.00 (ONE HUNDRED THOUSAND US DOLLARS), WHICHEVER IS HIGHER. NEITHER TM FORUM NOR YOU SHALL BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. ANY LEGAL ACTION OR ARBITRATION PROCEEDING RELATED TO THIS CONTRACT MUST BE FILED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ARISES.
  5. TM FORUM DISCLAIMERS. TM Forum makes no guarantees regarding the performance of any publication or webinar, including but not limited to the number of downloads or views. Any figures provided by TM Forum in relation to expected downloads or views are estimates only and should not be relied upon as guarantees or assurances of actual performance.
  6. MISCELLANEOUS.
    1. Assignment. You may not assign this Contract or your rights and obligations without TM Forum's prior written consent, which shall not be unreasonably withheld.
    2. Updates. TM Forum may update these Terms and Conditions at any time by posting them on its website. Any changes will only apply to Contracts executed after the date the changes are posted on our website. For existing Contracts, the Terms and Conditions that were in effect at the time of Contract execution will continue to apply. You are responsible for retaining a copy of the Terms and Conditions that were in effect when you executed your contract.
    3. Severability. Should a court of competent jurisdiction declare any portion of this Contract invalid or unenforceable, the remaining portions of this Contract not invalidated shall govern and bind the parties and be construed as if the invalidated portions were not originally included in this Contract.
  7. GOVERNING LAW AND DISPUTE RESOLUTION. Disputes will be resolved through arbitration in New Jersey under American Arbitration Association rules. The agreement is governed by New Jersey laws. Equitable relief may be sought in New Jersey courts.
  8. DATA PROTECTION ADDENDUM. Provided the Parties do not have a Data Protection Addendum (DPA) in place, and there is a transfer of personal data under the Contract, the DPA found at [link] shall control and govern the processing of personal data under this Contract.
